Conditions of Sale

Terms:   Our terms are stated on each invoice.  Full payment must be received within the terms of the invoice

Payments:   Payments may be made by cheque, cash, debit or electronic fund transfers.  Visa or Mastercard will only be accepted on the date of sale. Overdue accounts are subject to a 2% per month service charge.

If payments are over 60 days in arrears, your account may be put on hold

Credit will be revoked at FULLER’s discretion if terms of sale are not met

Please submit a list of invoices with your payment to facilitate the payment being applied to your account in a timely manner

Sales Tax:   Extra, if applicable

F.O.B.   Our warehouse unless agreed otherwise.

Shipping:  Collect or as per service contract

Pricing: Prices subject to change without notice.

Returns:  All returns must be within 10 days of the invoice date and must have a FULLER returned merchandise authorization (RMA) number.  Only product in the original unopened FULLER packaging will be accepted.  Returns must be sent prepaid to FULLER.  A standard restocking charge is 20% of invoice cost, plus freight cost.  Tools and special orders are non-returnable.  Partial returns or short payments are not accepted

Cancellation or Suspension: Cancellation or Suspension of acknowledged orders will be accepted only upon terms that will indemnify Seller against loss.  Orders for non-standard or special products are not subject to cancellation or return.

Permissible Variations: All materials shall be furnished subject to the manufacturing standard and commercial variations and practices of the Seller.  The Seller reserves the privilege of shipping over-ship or under-ship of quantity at the rate of plus or minus 10%.

Delays and Inability to Perform:  The Seller shall be excused for any delay in performance or inability to perform, in whole or in part, due to acts of God, war, riot, civil commotion, embargoes, acts of civil or military authorities, fires, floods, accidents, quarantine restrictions, epidemics, factory conditions, strikes, differences with workers, delays in transportation, shortages of cars, fuel, labor, supplies or materials, or laws, regulations, or other requirements of the Government of Canada or any agency thereof, or any other cause beyond the reasonable control of the Seller.

Claims, Limitations of Liability: Seller shall not be liable for any claims, losses, labor expenses or damages, direct or consequential resulting directly or indirectly from the use of, or inability to use, the products sold hereunder, including, without limitation, loss of profits, loss of production, and liabilities, claims and expenses in respect to third parties. Notwithstanding the foregoing and in lieu of any warranty of merchantability or of fitness for any particular purpose or any other warranty (whether expressed or implied by operation of law or otherwise), products proving defective in material or workmanship will be replaced, or, at Seller’s option, credit will be allowed for the original price thereof, provided written claim in respect of such products is made within thirty days after receipt and upon written authorization of the Seller such products are returned to Seller. Seller will not accept return of any products without its written authorization.  All orders are accepted by the Seller on the basis that in the event of any dispute between the Buyer and Seller, the Seller’s terms and conditions of sale will prevail.

Defective Material:
FULLER warrants the goods sold hereby and free from defects in workmanship and material in the event any of these goods prove to be defective in workmanship or material according to the applicable standards within a period of SIX(6) months from the invoice date. Any material that proves defective, FULLER shall, at its option, either replace, exchange, or provide Buyer with refund or credit for the purchase price. FULLER’s sole responsibility is limited to actual replacement of material involved. Any additional testing, variances or special requirements outside the relevant standards and testing methods can not constitute the parts as defective unless the variances or special requirements are agreed upon in writing at time of order acceptance. We accept no responsibility for labor or kindred claims.  Once customer claims a Quality issue FULLER may choose to send parts to a 3rd party lab, the results will determine who pays for the lab. If the lab proves that FULLER’s parts are per specification, the customer shall be responsible for any extra cost related to lab testing, outbound/return freight costs.
